Seller Agreement
This Seller Agreement applies to sellers who create a storefront and list items on Public Auctions, a DBA of Lemon LLC ("Public Auctions," "we," "us"). You accept it when you register as a seller. It is in addition to the Account Terms.
1. Merchant of record
You are the seller and merchant of record for everything you list. You contract directly with buyers. Public Auctions provides marketplace technology and does not buy, own, hold, or resell your inventory.
2. Payments & your Stripe account (passthrough)
You must connect and maintain your own Stripe account. All buyer payments — entry fees and winning purchases — are processed directly through Stripe and settle to you. Public Auctions does not custody buyer funds and takes no cut of your sales. Stripe performs its own identity/business verification (KYC); Public Auctions does not separately verify sellers.
3. Subscription & billing
Listing on Public Auctions requires an active subscription (plans start with a free trial). Subscription fees are billed on a recurring basis and are separate from buyer payments. You can change or cancel your plan; plan limits (such as the number of active listings) apply per tier.
4. Your listings & content
You are responsible for accurate titles, descriptions, prices, photos, and policies. You represent that you have the rights to the content and images you upload and grant Public Auctions a license to display them in connection with operating the marketplace. Do not upload infringing, misleading, or unlawful content.
5. Pricing & the sealed-bid model
You set the listed price buyers see. Entry fees fund that price; the winning bid is an additional amount paid only by the winner. Once you publish a listing, its price and shipping terms lock for that run to protect buyers mid-round.
6. Fulfillment
You must fulfill won orders promptly, ship to the buyer's provided address, and honor the shipping and return policies you post. You are responsible for shipping costs unless you list a flat rate charged to the buyer.
7. Prohibited & restricted items
Public Auctions currently supports physical products only — you may not list digital goods, downloads, or services. You also may not list illegal items, counterfeits, recalled or unsafe goods, weapons or regulated items where prohibited, or anything that violates applicable law or third-party rights.
8. Taxes
You are responsible for determining, collecting, and remitting all taxes applicable to your sales, and for your own income and business taxes. Any tax calculation features are provided for convenience only.
9. Compliance & legality
You are solely responsible for operating your business lawfully, including consumer-protection, licensing, product-safety, and export requirements that apply to what you sell.
10. Suspension & termination
We may suspend or remove listings or storefronts that violate this Agreement, applicable law, or that create risk for buyers or the Platform. You may stop selling at any time; obligations for open and won orders survive.
11. Indemnification, disclaimers & liability
You agree to indemnify Public Auctions against claims arising from your items, content, or conduct. The Platform is provided "as is," and Public Auctions' liability is limited to the fullest extent permitted by law.
12. Changes
We may update this Agreement; the version and effective date above will change, and continued selling means you accept the update.
